Nearo Terms of Use

These Terms of Use ("Terms") govern your access to and use of Nearo (the "Service"), a one-to-one remote tutoring platform that provides audio, video, screen sharing, and remote control tools, operated by Nearo ("Nearo," "we," "us," or "our"). By creating an account, starting a session, or using the Service, you agree to be bound by these Terms.

If you do not agree, do not use the Service.

1. Eligibility, Account Types, and Responsibility

Nearo may be used by either individual users or organizations.

Individual User refers to a natural person who creates and controls an account for their own instructional use.

Organization refers to an entity (such as a tutoring center, school, or business) that creates or controls an account and authorizes multiple individuals to use the Service under that account.

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account or to accept these Terms on behalf of an Organization.

If you are using Nearo on behalf of an Organization, you represent and warrant that you have the authority to bind that Organization to these Terms.

The account owner (whether an Individual User or an Organization) is responsible for:

  • All activity that occurs under the account
  • All charges incurred under the account
  • Managing and revoking access for authorized users
  • Ensuring that all authorized users comply with these Terms

Accounts may not be shared across unrelated individuals or organizations in a way that circumvents plan limits, usage restrictions, or billing tiers.

2. Description of the Service

Nearo provides real-time communication and interaction tools designed to support live, one-to-one instructional sessions. Features may include audio, video, screen sharing, remote control, and annotation tools.

The Service is provided on a subscription basis, with feature availability depending on the plan selected.

We may modify, improve, or discontinue features from time to time. Material changes will be communicated when reasonably possible.

3. Subscriptions, Billing, and Payment

3.1 Subscription Plans

Nearo offers subscription plans for Individual Users and Organizations. Pricing, feature limits, and authorized user allowances vary by plan and are disclosed at the time of purchase or on our website.

Subscriptions renew automatically unless canceled before the renewal date.

3.2 Authorization to Charge

By starting a paid subscription, you authorize Nearo to charge the payment method on file on a recurring basis in accordance with the selected plan until cancellation.

For Organization accounts, this authorization applies to all usage by authorized users under the account.

You acknowledge that:

  • Charges are based on time-based access to the Service, not on usage volume or session outcomes
  • Failure by you or your authorized users to use the Service does not relieve you of payment obligations

3.3 Account Owner Responsibility

The account owner is solely responsible for:

  • Selecting the appropriate plan for the number of authorized users
  • Charges incurred by authorized users
  • Monitoring usage relative to plan limits

Nearo is not responsible for internal disputes between Organizations and their authorized users.

3.4 Refunds and Cancellations

All payments are non-refundable except where required by law.

You may cancel your subscription at any time through the account settings or other provided cancellation mechanism. Cancellation prevents future renewals but does not retroactively refund charges for the current billing period.

If you believe a charge was made in error, you must contact Nearo support before initiating a payment dispute.

4. Free Trials and Promotional Access

Nearo may offer free trials or limited free access. Unless otherwise stated:

  • Trials convert automatically to paid subscriptions at the end of the trial period
  • You will be charged unless you cancel before the trial ends

We reserve the right to modify or revoke promotional access at any time.

5. Acceptable Use

You agree not to:

  • Use Nearo for unlawful, abusive, or fraudulent activities
  • Interfere with or disrupt the Service
  • Attempt to bypass plan limits, technical safeguards, or billing systems
  • Use Nearo to deliver services you are not legally authorized to provide

Nearo is intended for live instructional use. Excessive non-instructional or automated usage may result in account suspension.

6. User Content and Session Data

You retain ownership of content you create or share during sessions.

By using the Service, you grant Nearo a limited, non-exclusive license to process session data solely to operate, maintain, and improve the Service.

Nearo does not record sessions by default. Any recordings are subject to applicable laws and user responsibility for consent.

7. Suspension and Termination

We may suspend or terminate access to the Service for an Individual User or an Organization if:

  • These Terms are violated
  • Applicable fees are not paid
  • Usage creates legal, security, operational, or financial risk

For Organization accounts, suspension or termination may apply to the entire account or to specific authorized users.

Termination does not relieve the account owner of outstanding payment obligations incurred prior to termination.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." NEARO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Nearo does not guarantee uninterrupted or error-free service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEARO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR LOST-PROFIT DAMAGES.

NEARO'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO NEARO IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Nearo from claims arising out of:

  • Your use of the Service
  • Your instructional activities
  • Your violation of these Terms or applicable law

11. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of Nearo after changes become effective constitutes acceptance of the revised Terms.
